Waya Terms of Service

These terms are an agreement between you and Waterbear LLC, a Delaware limited liability company operating as Waya ("Waya," "we," "us"). They govern your use of the Waya services, meaning the methodology servers at pro-mcp.wayaframes.com and pre-mcp.wayaframes.com, including when they come as part of a program; any program you buy from us; and the website at wayaframes.com. By creating an account, buying a program, or using the services, you accept them.

1. What Waya is

Waya provides facilitated business methodologies: structured approaches to problems such as gap analysis, A3 thinking, experiment design, and pre-product-market-fit work, delivered through the AI assistant of your choice. Your AI assistant is your own tool, operating under your agreement with its provider, and we are not responsible for it.

2. Your account

You sign in through our identity provider. Keep your access to your own account; you are responsible for activity under it. You must be at least 18 and using Waya for business purposes.

3. Acceptable use

Use the services for their purpose: working through methodologies on your own business problems. You agree not to:

• scrape, bulk-extract, or systematically harvest the methodology content;
• resell, republish, or redistribute the methodology or the service;
• probe, disrupt, or overload the services, or bypass their access controls;
• use the services for anything unlawful.

We monitor for automated extraction and may suspend sessions or accounts that engage in it.

4. Your content

The notes, business information, and other content you provide during sessions are yours. You grant us a license to store and process that content for two purposes only: operating the service for you, and improving it as described in our Privacy Policy, which also states that we never use your content to train AI models. The license ends when your content is deleted.

Personal methodologies. Some methodologies, such as Mission & Values and Ikigai, ask you to reflect about yourself. The notes you give there are stored and reviewed like any other session content: our team reads session records, and may use AI tools under business terms that bar training, to improve the methodology (the Privacy Policy describes this). By using those methodologies you agree to that review. Share only what you are comfortable with us reading. While you are in a program, our review of your sessions is part of how we deliver it. After your program ends, you can ask us to stop reviewing your sessions, or to delete them.

You are responsible for what you submit: don't provide content you have no right to share. Your notes may mention other people, such as customers you interview or your team. Share only what the methodology needs, and only information you have the right to share; we handle it under our Privacy Policy. You agree to indemnify and hold Waya harmless from any claim, loss, or expense (including reasonable legal fees) arising out of content you submit or your breach of these terms.

5. Our content

The methodologies, prompts, structure, text, and software that make up Waya are ours or our licensors', protected by intellectual-property law. These terms give you a personal, non-exclusive, non-transferable right to use the services; they transfer no ownership.

If you send us feedback or suggestions about Waya, we may use them freely, without any obligation to you.

6. Programs and fees

Some of our programs include access to the services. A program's price, schedule, and what it includes are stated when you buy it, and your payment is handled by our payment processor.

Refunds. You can cancel a program for a full refund at any time before its first session. Once the program has started, its fee is not refundable. If we cancel a program, you get a full refund.

After a program ends. You can keep your access to the services after your program ends, for a fee. We will tell you the price first, and we charge only if you agree to continue. You can cancel at any time by emailing info@wayaframes.com. A cancellation takes effect at the end of the period you have paid for.

If you do not continue, your access to the services ends: you can no longer run the methodologies or the tools that work through your connected apps. What was created for you stays with you. The documents the services helped you produce (such as your Ikigai, business case, Mission & Values and financial model) and the work set up in your connected apps are kept in your own tools. You can still ask us to export or delete the information we hold about you, as the Privacy Policy describes.

Use outside a program. Outside a program, the services are available only to people we invite to test them, free of charge for the test. If a tester's access is to become paid, we will give reasonable notice and the price before any charge applies.

7. Not professional advice

Waya provides business methodology facilitation. It does not provide legal, financial, investment, tax, accounting, or other professional advice. Session output is produced by your own AI assistant, using our methodology and the information you provide. You are responsible for the decisions you make based on it, and for matters requiring professional judgment you should consult a qualified professional.

8. Disclaimer of warranties

The services and programs are provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services or programs will be uninterrupted, error-free, or that any methodology will produce a particular business outcome.

9. Limitation of liability

To the fullest extent the law allows: we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data; and our total liability for all claims arising out of the services or programs is limited to the greater of US $100 or the amount you paid us in the twelve months before the claim arose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

10. Termination

You can stop using Waya at any time and can request account deletion as described in the Privacy Policy. We may suspend or terminate accounts that violate these terms, with notice where practicable. Sections 4 (as to the wind-down of stored content and your indemnity), 5, 8, 9, and 12 survive termination.

11. Changes to the services and these terms

We may change or discontinue features of the services. Before we remove a feature or discontinue a service, we will give account holders reasonable notice.

When we change these terms, we update the date at the top and, for material changes, notify account holders by email before the change takes effect. Continued use after the effective date is acceptance.

12. General

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, and disputes will be resolved in the state or federal courts located in Delaware. We may assign this agreement, including to a successor entity of the Waya business, and your rights and our obligations follow the assignment. If a provision is unenforceable, the rest stand. These terms and the Privacy Policy are the entire agreement between us about the services and programs, except that a separate agreement you have signed with us (such as a consulting agreement) controls where it conflicts with them.
